Introduction
These terms and conditions apply to all offers and agreements between Chiaro Labs (Chamber of Commerce: 97765589, e-mail: contact@chiarolabs.com) and its clients ('Client'). Terms or conditions set by the Client that deviate from or are not included in these terms and conditions are only binding for Chiaro Labs if and to the extent they have been expressly accepted in writing.
1. Quotation and Acceptance
Chiaro Labs prepares a quotation specifying which services ('the Services') are offered, what is included, and the applicable fee. Only the description of the Services in the quotation is binding. A quotation is entirely non-binding and valid for 14 days unless otherwise stated. The agreement is concluded when the notification of acceptance of the quotation is received by Chiaro Labs. This notification can be made by e-mail. If the Client does not explicitly confirm but allows Chiaro Labs to perform work, the quotation is considered accepted. Changes to the Services are only possible with mutual consent, unless otherwise stipulated.
2. Delivery and Acceptance
Chiaro Labs delivers the result when it meets the specifications or is suitable for use. The Client must evaluate and approve or reject the delivered result within 14 days after delivery. If no response is given, the delivery is deemed accepted. After acceptance, Chiaro Labs is no longer liable for defects in the delivered result.
3. Provision of Services
After the agreement is concluded, the Services will be provided in accordance with the quotation, taking into account reasonable wishes of the Client. The Client shall provide all data necessary for proper performance of the Services in a timely manner. If necessary, work may be performed by third parties under the responsibility of Chiaro Labs. Chiaro Labs guarantees the Services will be performed carefully and to the best of its ability.
4. Maintenance and Support
Maintenance means keeping existing software and/or hardware functioning according to the agreement. Errors will be remedied as soon as possible; Chiaro Labs depends on suppliers for updates or patches. Requests for changes may be refused if, in Chiaro Labs' opinion, they are not feasible or could hinder proper operation.
5. Prices and Payment
The payment term is 14 days after the invoice date, unless otherwise agreed. In case of late payment, statutory interest is due and work may be suspended. Invoices are sent electronically. In case of late payment, the Client also owes extrajudicial collection costs.
6. Liability
Liability is limited to the invoice amount of the relevant agreement, with a maximum of one thousand euros (1,000 euros). Chiaro Labs is not liable for indirect damages, including consequential loss, lost profits, or business interruption. Any claim against Chiaro Labs expires 12 months after arising.
7. Force Majeure
In the event of force majeure (such as disruptions, illness, government measures, pandemics, etc.), execution of the agreement may be suspended without compensation.
8. Intellectual Property
All intellectual property rights to delivered services and works belong to Chiaro Labs, unless otherwise agreed. The Client only acquires the right of use for the agreed purpose and may not further distribute or modify works without written permission from Chiaro Labs.
9. Duration and Termination
The agreement is valid for the agreed period. Termination must be in writing with a notice period of one month, unless otherwise agreed. In case of early termination, the Client is obliged to pay the remaining instalments unless otherwise agreed.
10. Confidentiality
Parties shall treat as confidential all information exchanged during the agreement and shall not disclose it to third parties, unless required by law.
11. Final Provisions
Dutch law exclusively applies to this agreement. Disputes will be submitted to the competent court in the district where Chiaro Labs is located. If one or more provisions are null and void, the remaining provisions remain in force.
